Creator Program Terms

These Creator Program Terms (“Terms”) govern your participation in the Content Creator Program relating to Bullet Echo and any other game which may be included in the Creator Program from time to time (each the “Game”, and collectively, the "Games").

These Terms constitute supplemental terms for the purposes of Section 14 of the Terms of Use currently available at https://www.zeptolab.com/terms and form part of the legally binding agreement between you and ZeptoLab UK Limited (“ZeptoLab”). Capitalised terms not defined here have the meaning given in the Terms of Use.

By applying to or participating in the Creator Program, you agree to be bound by these Creator Program Terms and the Terms of Use currently available at https://www.zeptolab.com/terms, as amended from time to time. In the event of any conflict, these Terms shall prevail in relation to the Creator Program only.

1. Nature of the Program

The Creator Program is a discretionary, revocable initiative designed to support selected creators who publish Creator Content relating to the Game(s) on supported platforms. For the purposes of these Terms, “Creator Content” shall mean any video, stream, short form content, thumbnail, image, text, audio, live broadcast, social media post, derivative work or other material created, published or distributed by you in connection with the Creator Program and relating to any Game. Supported platforms are determined by ZeptoLab in its sole discretion and may be expanded, restricted or changed at any time.

The Creator Program is not an employment, worker, agency, partnership, joint venture, franchise or fiduciary relationship. You participate as an independent individual and are solely responsible for your own costs, expenses, equipment, taxes and compliance with applicable laws.

ZeptoLab does not guarantee any level of visibility, featuring, engagement, performance, rewards, audience growth or economic benefit arising from participation.

2. Eligibility and Application

The Creator Program is operated by ZeptoLab UK Limited and is available only to individuals who are at least 18 years old and who have legal capacity to enter into binding contracts.

Applications must be submitted through the official application channel designated by ZeptoLab, which may include the Nexus platform currently available at https://www.nexus.gg/ (“Nexus”), operated by Chrono Inc., 1401 Lavaca Street, Unit #356 Austin, TX 78701 (“Chrono”). ZeptoLab may require applications to be submitted through Nexus and may change, suspend or replace the application process or designated platform at its discretion. Where required by ZeptoLab, you must create and maintain an active Nexus account and comply with the applicable Nexus terms and policies, including the Terms of Use currently available at https://www.nexus.gg/legal/terms-of-use.

ZeptoLab may accept or reject any application in its sole discretion, with or without providing reasons. Each application is reviewed independently and prior rejection does not create any expectation of future acceptance.

Participation is available on a worldwide basis. ZeptoLab may, at any time and in its sole discretion, restrict, suspend, limit or terminate participation in the Creator Program in any territory or in respect of any individual, including where necessary or desirable for legal, regulatory, sanctions, compliance, risk management or business reasons.

Meeting any published or referenced minimum requirements does not create any entitlement to acceptance. All eligibility criteria, thresholds and qualitative standards are determined and applied by ZeptoLab in its sole discretion and may be amended or waived at any time without notice.

Personal data relating to your application to and participation in the Creator Program may be collected and processed through Nexus. Where personal data is processed through Nexus, Chrono acts as an independent controller in accordance with the Nexus Privacy Policy currently available at https://www.nexus.gg/legal/privacy-policy. ZeptoLab may receive and process limited personal data for the purposes of assessing eligibility, administering participation and enforcing these Terms, in accordance with its Privacy Policy currently available at https://www.zeptolab.com/privacy. ZeptoLab does not control and is not responsible for the manner in which Chrono processes personal data within its own systems.

3. Participation Requirements

As a condition of participation, you must:

Maintain an active and compliant Game account in good standing.
Comply at all times with the Terms of Use and these Terms.
Comply with the terms, policies and guidelines of any third party platform on which you publish Creator Content.
Join and maintain membership in the official Creator Program communication channels designated by ZeptoLab, which may include Discord servers or other platforms, and comply with their rules.
Comply with all applicable laws, regulations and advertising standards, including clear and prominent disclosure of any material connection with ZeptoLab where required.

ZeptoLab may publish program rules, video requirements, reward structures, eligibility criteria and operational guidance in FAQs, Discord channels or other communications. Such materials are incorporated by reference and form part of these Terms. ZeptoLab may amend them at any time in its sole discretion.

4. Creator Content Standards and Conduct

You are solely responsible for all Creator Content that you create, publish, distribute or otherwise make available in connection with the Creator Program.

You represent and warrant that:

Your Creator Content is your original creation or that you have obtained all necessary rights, licenses, permissions and consents required to use and publish it.
Your Creator Content does not infringe any copyright, database right, trade mark, moral right, right of privacy, right of publicity or any other proprietary or personal right of any third party.
Your Creator Content complies with all applicable laws and regulations, including advertising, consumer protection, competition, intellectual property and data protection laws.
You have obtained any necessary consents from individuals appearing in your Creator Content.

You shall ensure that your Creator Content:

Complies with the terms and policies of all platforms on which it is published.
Does not promote cheating, exploits, unauthorised modifications or circumvention of technical protection measures.
Is not unlawful, misleading, defamatory, discriminatory, hateful, harassing, obscene or otherwise harmful.
Does not include political campaigning, partisan political messaging or Creator Content reasonably likely to generate significant political controversy in connection with the Game.
Does not contain sexually explicit material, graphic violence or depictions of unlawful conduct.
Does not include any statement, implication or presentation that could reasonably be considered harmful to the reputation, goodwill or commercial interests of ZeptoLab, the Game or their affiliates.

You must clearly present your Creator Content as your own independent work. You must not represent, imply or suggest that your Creator Content is officially produced, approved, sponsored or endorsed by ZeptoLab unless ZeptoLab has provided prior express written authorisation. You must not make false or misleading statements about the Creator Program, rewards, monetisation, or your relationship with ZeptoLab.

ZeptoLab may require modification or removal of Creator Content that it reasonably considers non-compliant with this section. ZeptoLab reserves the right to remove you from the Creator Program where it reasonably considers that your conduct, whether on or off platform, is harmful to the brand, community or business interests.

5. License to Use ZeptoLab Assets

Subject to your continued compliance, ZeptoLab grants you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to use official Game assets, artwork, logos, images and design elements (“Program Materials”) provided to you solely for the purpose of creating and publishing Creator Content related to the Game on supported platforms.

You must not:

Use the Program Materials for any commercial purpose unrelated to the Game.
Use the Program Materials in connection with any other game, product, service or brand.
Sell, license, distribute, transfer, assign or otherwise make Program Materials available to any third party.
Modify, adapt or create derivative works from Program Materials except to the extent reasonably necessary to create Creator Content in accordance with these Terms.
Use Program Materials in any manner that is misleading, defamatory, unlawful or harmful to ZeptoLab’s reputation.

All rights not expressly granted are reserved. Upon suspension, removal from the Creator Program or termination of these Terms, you must immediately cease use of all Program Materials and delete any copies in your possession or control, except where incorporated into previously published Creator Content that complies with these Terms.

ZeptoLab may withdraw the license, replace or update Program Materials at any time in its sole discretion.

You must comply with any brand guidelines or usage instructions issued by ZeptoLab. You may not use official assets in connection with other games, products or services without prior written consent.

6. License to ZeptoLab and Publicity Rights

In addition to the rights granted under the Terms of Use, you grant ZeptoLab a perpetual, irrevocable, worldwide, royalty free, fully transferable and sublicensable right and license to use your creator name, channel name, handle, logo, likeness, voice, branding elements, thumbnails, video excerpts and related Creator Content for any lawful purpose connected with the Game, the Creator Program or ZeptoLab’s business, including in-game featuring, marketing, advertising, social media, events and commercial materials.

You represent and warrant that:

You own or have obtained all necessary rights, permissions and consents required to create, publish and exploit your Creator Content and to grant the rights and licenses set out in these Terms.
Your Creator Content does not infringe any third party rights and does not violate any applicable law.
You have obtained any necessary consents from individuals appearing in your Creator Content.

ZeptoLab may reproduce, edit, adapt, localise, crop, combine and otherwise modify such materials. To the maximum extent permitted by law, you waive any moral rights in relation to such use. No additional compensation shall be payable for such use.

7. Rewards and Benefits

ZeptoLab may, at its discretion, provide in-game rewards, digital items, titles, badges, featuring opportunities, early information, beta access or other benefits.

All in-game rewards and digital items are Virtual Items subject to the Terms of Use and are licensed, not sold. They have no monetary value and may not be transferred, exchanged or redeemed for money.

Performance measurement, including view counts and other metrics, is determined based on publicly available sources or internal analysis, at ZeptoLab’s sole discretion.

Reward structures, scales, thresholds and categories may be amended, suspended or discontinued at any time without notice.

Featuring in-game or on official channels is discretionary and not guaranteed. ZeptoLab is not obliged to provide reasons for selection or non-selection.

8. Early Information and Beta Access

ZeptoLab may, at its sole discretion, provide you with access to Program Materials, early information, unreleased features, beta versions, test builds, development materials, internal documentation, performance data, roadmaps or other non-public materials relating to the Game(s) (collectively, “Confidential Information”). All Confidential Information is proprietary to ZeptoLab and may include trade secrets and other commercially sensitive information.

You agree that you shall:

Not disclose, publish, stream, post, transmit, describe, reproduce, summarise or otherwise make available any Confidential Information to any third party, in whole or in part, in any form or medium, without ZeptoLab’s prior express written authorisation.
Not use Confidential Information for any purpose other than participating in authorised testing or evaluation as expressly permitted by ZeptoLab.
Not copy, record, capture, screenshot, extract, reverse engineer or otherwise reproduce Confidential Information except as strictly necessary for authorised participation.
Take all reasonable measures to prevent unauthorised disclosure or access.
Immediately notify ZeptoLab in writing of any actual or suspected unauthorised access, disclosure or use.
Confidential Information includes the fact of your access to beta materials where such access has not been publicly announced by ZeptoLab.

Where ZeptoLab expressly permits you to record, capture or create Creator Content during a beta test or pre-release phase:

You may prepare such content in advance of public release.
You may publish such content only after the relevant hero, feature or update has become publicly available, unless ZeptoLab provides express written permission for earlier publication.
Any published content recorded during beta testing must include a clear and prominent disclosure stating that:
- the content was recorded during a test or pre-release version of the Game; and
the publicly available version of the Game may differ from the version shown.

ZeptoLab may withdraw, limit or condition such authorisation at any time in its sole discretion.

Your confidentiality obligations apply indefinitely and survive termination, removal from the Creator Program, termination of your account and discontinuation of the Program.

You acknowledge that unauthorised disclosure or use of Confidential Information may cause immediate and irreparable harm to ZeptoLab for which monetary damages would be inadequate. ZeptoLab shall be entitled to seek interim or permanent injunctive relief, specific performance and any other remedies available at law or in equity. Without limiting any other rights, breach of this section may result in:

Immediate and permanent removal from the Creator Program.
Permanent revocation of beta access.
Suspension or termination of your Game account.
Forfeiture of unpaid rewards.
Recovery of damages and costs.

You agree to indemnify and hold ZeptoLab harmless against any losses, damages, liabilities, costs or expenses arising from or related to your breach of this section.

9. Creator Run Activities

You may use in-game rewards earned through the Program as prizes in contests, tournaments or giveaways on your channel, subject to prior notice and any operational requirements specified by ZeptoLab.

You are solely responsible for organising, administering and complying with all laws applicable to such activities. ZeptoLab is not the sponsor, organiser or promoter of any creator run contest or giveaway and accepts no liability in connection with them.

10. Removal and Suspension

ZeptoLab may suspend or remove you from the Creator Program at any time, with or without notice, where it reasonably considers that removal is necessary or appropriate for legal, regulatory, operational, reputational or business reasons, or where you have breached these Terms, the Terms of Use or any program rule.

On removal or suspension, ZeptoLab may:

Deactivate any creator specific roles or access.
Revoke badges, titles or status indicators.
Withdraw access to assets and confidential materials.
Withhold, suspend, cancel or permanently forfeit any unpaid rewards, benefits or entitlements.
Suspend reward calculations pending investigation of suspected breach, fraud or manipulation.
Deactivate or withdraw eligibility for monetisation features.

Previously granted Virtual Items remain subject to the Terms of Use and may be revoked where permitted under those terms.

ZeptoLab shall have no obligation to provide reasons for any decision relating to acceptance, removal, suspension, reward allocation or monetisation access.

11. Limitation of Liability

The limitation of liability in the Terms of Use applies equally to the Creator Program. Nothing in these Terms excludes liability that cannot lawfully be excluded. Subject to that, ZeptoLab shall not be liable for any loss of revenue, profits, business, opportunity, goodwill or anticipated growth arising from participation in the Creator Program.

ZeptoLab shall not be liable for any delay or failure to perform obligations under these Terms resulting from events beyond its reasonable control.

12. Indemnification

You shall indemnify and keep indemnified ZeptoLab, its affiliates, officers, employees and agents against all losses, damages, liabilities, claims, proceedings, costs and expenses (including reasonable legal costs) arising out of or in connection with:

Your breach of these Terms, the Terms of Use or any program rule.
Any Creator Content created, published or distributed by you in connection with the Creator Program.
Any allegation that your Creator Content infringes intellectual property rights, database rights, trade marks, privacy rights, personality rights or other rights of any third party.
Your failure to comply with advertising, consumer protection, competition, data protection or other applicable laws.
Any contest, giveaway, tournament or promotion organised by you.

ZeptoLab shall have sole control of the defence and settlement of any claim subject to indemnification. You shall provide all reasonable assistance at your own cost.

This indemnity shall survive termination or removal from the Creator Program.

13. No Reliance

You acknowledge that you have not relied on any statement, representation or assurance made by ZeptoLab other than those expressly set out in these Terms and, where applicable, the Cash Monetisation Addendum.

Nothing in this section limits or excludes liability for fraud or fraudulent misrepresentation.

14. Changes and Termination of the Program

ZeptoLab may modify, suspend or discontinue the Creator Program, in whole or in part, at any time without liability. Continued participation after changes take effect constitutes acceptance.

15. Cash Monetisation

Participation in any creator code, revenue share or cash monetisation mechanism is not automatic and is governed exclusively by a separate Cash Monetisation Addendum. Additional terms, including third party platform terms, may apply.

Acceptance into the Creator Program does not create any entitlement to monetisation features.

16. Governing Law

These Terms are governed by the laws of England and Wales and are subject to the dispute resolution provisions set out in the Terms of Use.

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

By applying to or participating in the Creator Program, you acknowledge that you have read and agree to these Terms.

CASH MONETISATION ADDENDUM TO THE CREATOR PROGRAM TERMS

This Cash Monetisation Addendum forms part of the Creator Program Terms between you and ZeptoLab UK Limited (“ZeptoLab”).

This Cash Monetisation Addendum governs your participation in any creator code, revenue share, or other cash based monetisation feature made available in connection with the Bullet Echo game (the “Game”).

Cash monetisation features are supported by the Nexus platform currently available at https://www.nexus.gg/ (“Nexus”) and associated services operated by Chrono Inc., 1401 Lavaca Street, Unit #356 Austin, TX 78701 (“Chrono”).

Participation is conditional upon compliance with this Cash Monetisation Addendum, the Creator Program Terms, the Terms of Use and the applicable Nexus Terms of Use currently available at https://www.nexus.gg/legal/terms-of-use, as amended from time to time. In the event of conflict, this Cash Monetisation Addendum prevails in relation to cash monetisation only.

1. Scope and Nature of Monetisation

Participation in cash monetisation is separate from general participation in the Creator Program. Acceptance into the Creator Program does not create any entitlement to receive a creator code, participate in revenue share, or receive cash payments.

ZeptoLab’s role in relation to cash monetisation is strictly limited to:

Assessing and approving or rejecting applications for access to monetisation features.
Authorising the allocation or activation of a creator code within the Game ecosystem.

ZeptoLab does not administer payouts, process payments, operate settlement systems, manage payout workflows, collect tax documentation for payout purposes, or control the Nexus platform.

All operational, technical and financial aspects of monetisation features, including attribution tooling, settlement administration and payout execution, are managed by Chrono through Nexus in accordance with the Nexus Terms of Use.

Access to monetisation features is granted solely at the ZeptoLab’s discretion and is confirmed only when you receive written notice of approval. ZeptoLab may approve, refuse, suspend or withdraw monetisation access at any time, with or without notice, where reasonably necessary for legal, regulatory, operational or business reasons.

Nothing in this Cash Monetisation Addendum creates any employment, worker, agency, partnership, joint venture, franchise or fiduciary relationship between you and ZeptoLab or between you and Chrono.

2. Eligibility and Creator Codes Attribution

To participate in monetisation features, you must:

Be at least 18 years old.
Have publicly posted Creator Content relating to the Game(s).
Have applied through the official application process using complete and accurate information.
Maintain active status in the Creator Program and a game account in good standing.
Comply with the Nexus Terms of Use and the terms and policies of any content distribution platform on which you publish.
Satisfy any additional eligibility criteria specified by ZeptoLab from time to time.

ZeptoLab may impose additional conditions, verification requirements or thresholds before granting or maintaining access to monetisation features. ZeptoLab may withdraw approval for monetisation access where it reasonably believes continued participation presents legal, regulatory or sanctions risk.

Approval for monetisation access does not constitute endorsement of your Creator Content and does not create any employment, commercial agency, partnership or fiduciary relationship between you and ZeptoLab.

If approved, ZeptoLab may assign you a unique creator code. The creator code remains the sole property of ZeptoLab. You acquire no proprietary rights or goodwill in the code. ZeptoLab may modify, replace, suspend or deactivate a creator code at any time.

Attribution of transactions to a creator code is processed by Chrono through the Nexus platform based on data from its internal systems and integrations.

3. Contractual Relationship for Monetisation

By participating in monetisation features, you acknowledge and agree that:

Your contractual relationship for payment processing, settlement and related services is with Chrono under the Nexus Terms of Use.
Chrono is solely responsible for payment administration, settlement workflows, payout timing, minimum thresholds, supported territories, currency handling and payment methods.
Chrono acts independently and is not an agent, partner or joint venture of ZeptoLab.
Any disputes, claims or enquiries relating to payments, settlement, payout delays, technical issues, platform errors or data handling by Chrono must be directed to Chrono in accordance with the Nexus Terms of Use.

ZeptoLab does not guarantee the availability or uninterrupted operation of Nexus functionality or third party integration. Any calculation, reporting or analytics relating to monetisation features are provided through Nexus and governed by the Nexus Terms of Use.

4. Revenue Share

Where monetisation includes a revenue share component, such revenue share is determined in accordance with parameters communicated to you and administered through Nexus.

ZeptoLab does not guarantee any minimum level of earnings, transaction volume or continuity of monetisation features.

ZeptoLab shall have no liability whatsoever for any act, omission, error, delay, suspension, data processing activity, compliance decision or technical failure of Chrono, Nexus or any payment provider.

ZeptoLab makes no representation that monetisation features will remain available, continuous or commercially viable.

5. Payments and Financial Administration

All payments are processed exclusively by Chrono through Nexus and its designated payment providers.

ZeptoLab does not process payments directly and bears no responsibility for payment execution, payout timing, currency conversion, banking processes, tax documentation collection or reporting, withholding or remittance of taxes by Chrono or its partners, system outages or technical failures within Nexus.

Chrono may apply payout thresholds, compliance reviews, identity verification requirements, settlement cycles and operational rules in accordance with its own terms and policies. Monetisation participation may be subject to identity verification, tax documentation and sanctions screening requirements imposed by Chrono or its payment partners.

6. Data Protection

Chrono acts as an independent controller in respect of personal data it processes for payment and settlement purposes under the Terms of Use currently available at https://www.nexus.gg/legal/terms-of-use and Privacy Policy currently available at https://www.nexus.gg/legal/privacy-policy. ZeptoLab does not control and is not responsible for the manner in which Chrono processes personal data within Nexus for payment administration, settlement, compliance verification, sanctions screening or related purposes.

Personal data provided to ZeptoLab for Creator Program participation is processed in accordance with the ZeptoLab’s Privacy Policy currently available at https://www.zeptolab.com/privacy.

7. Limitation of Liability

To the fullest extent permitted by law, ZeptoLab shall not be liable for any loss of revenue, anticipated earnings, business opportunity, technical disruption or payment delay arising from or in connection with monetisation features, Nexus operation or Chrono’s services. The limitation of liability set out in the Terms of Use applies equally to this Cash Monetisation Addendum.

8. General Terms

This Cash Monetisation Addendum is governed by the laws of England and Wales and is subject to the dispute resolution provisions set out in the Terms of Use.

ZeptoLab may amend this Cash Monetisation Addendum at any time.

ZeptoLab may suspend or terminate its approval for monetisation access at any time.

Provisions which by their nature are intended to survive termination shall remain in effect.

By activating or using any monetisation feature or creator code, you acknowledge that you have read and agree to this Cash Monetisation Addendum.
